Terms of Use

These Terms govern the use of the ProPrep platform, operated by Pedro Matheus Ferreira Fructuoso LTDA, CNPJ 61.799.410/0001-39, with its registered office at Rua Rússia, 55 — Sorocaba/SP — ZIP 18045-080 ("ProPrep", "we").

1. Acceptance

By creating a ProPrep account, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the platform.

2. Who can use it / Account

The platform serves students, teachers, institutions and guardians. You are responsible for the information in your registration and for keeping your password confidential; notify us immediately of any unauthorized use. Minimum age and rules for minors: see the Privacy Policy (use by minors requires the consent/supervision of a legal guardian).

3. Subscription, payment and trial

Paid plans are processed via Stripe. Trial period, prices and tiers are on the plans page. Recurring billing follows the chosen plan until cancellation.

4. Cancellation and right of withdrawal (CDC)

You may cancel at any time in settings; cancellation takes effect at the end of the already-paid cycle (no new charges). Right of withdrawal (CDC Art. 49): for purchases made online, you may withdraw within 7 days of the contract and be refunded.

5. "Target Band" guarantee

The Target Band plan includes a performance guarantee, on the following terms:

  • Eligibility: students on the Target Band package (4- or 6-month).
  • Criterion: the guarantee is met when, by the end of the package, the student reaches the target band declared at signup.
  • Verification:the band is verified by the official exam result the student registers in the platform ("My exam"); if no official result is registered, by the average of the student's recent human-graded assessments. Registering the official result is the student's responsibility.
  • If not reached: ProPrep grants a one-time, free 2-month extension of the package (with study quotas reset) so the student can keep preparing.
  • After the extension: if the target band is still not reached, no further extension applies and ProPrep will recommend a new plan.
  • If reached: ProPrep issues a Target Band completion certificate.
  • Remedy: the guarantee remedy is the free extension described above; it does not include a cash refund.

6. Content and intellectual property

The content of exams, materials and grading is protected by copyright. Copying, redistributing, reselling or publicly sharing the content is prohibited. Paid content carries a watermark with the student's email to deter redistribution. You keep the rights to what you produce (essays, answers), granting ProPrep a license to process them and generate feedback.

7. Acceptable use

Prohibited: breaking laws, defrauding assessments or payments, unauthorized automated access, sharing an account, or using the platform for harassment/abuse.

8. Teachers

Teachers are independent professionals, responsible for the material they produce and the assessments they make (there is no employment relationship with ProPrep). Compensation follows the per-delivery payment model (grading/sessions performed), with payouts via Stripe Connect according to the rules in force in the finance panel.

9. AI and no guarantee of results

ProPrep uses AI for feedback, band estimation and study plans — indicative outputs that do not replace individual study or official exam registration. Except for the "Target Band" guarantee (Section 5), ProPrep does not guarantee a specific result in IELTS, TOEFL or any other exam.

10. Limitation of liability

To the maximum extent permitted by law, ProPrep is not liable for indirect damages, lost profits or third-party outages (e.g., payment, AI or hosting providers). Nothing in these Terms limits the consumer's non-waivable rights (CDC).

11. Termination

We may suspend or terminate accounts that violate these Terms, at the moderation team's discretion. You may close your account at any time in settings.

12. Changes

We may update these Terms. Relevant changes will be communicated by email and within the platform, with a new update date.

13. Governing law and venue

These Terms are governed by the laws of Brazil. The venue of the consumer's domicile applies, as provided by the Consumer Defense Code (CDC).
